MMRDA to hear SYSTRA before terminating Mumbai Metro Consultancy contract for delays

Mumbai, India (Metro Rail Today): The Mumbai Metropolitan Region Development Authority (MMRDA) has issued a response following the Bombay High Court's recent judgment regarding the termination of the contract of SYSTRA India, a French multinational engineering firm. In its ruling, the Court reaffirmed MMRDA's right to terminate the contract with SYSTRA but emphasized the need for procedural compliance, notably requiring MMRDA to issue a reasoned order after hearing SYSTRA’s case.

This development comes in the wake of SYSTRA’s legal petition challenging MMRDA’s decision to discontinue its services for the consultancy of metro projects in Mumbai. The company had previously raised concerns about delays in payments, approvals, and pressures to inflate contractor orders, which it claims led to mounting operational challenges. Despite these grievances, the Court has upheld MMRDA’s fundamental right to terminate the contract, a clause that was already agreed upon by SYSTRA when the agreement was signed.

In Writ Petition No. 2889/2025, the Hon’ble Court ruled that MMRDA's decision to end the contract was not arbitrary but required further procedural steps to ensure fairness. While SYSTRA sought specific performance and challenged the termination, the Court did not grant this request and instead directed MMRDA to issue a "speaking order" after allowing SYSTRA an opportunity to present its case. The Court's ruling reinforces MMRDA’s authority to proceed with termination under the terms of the contract, provided due process is followed.

In response, MMRDA has clarified several key points:

  1. Contractual Right to Terminate: The contract between MMRDA and SYSTRA clearly outlines the authority of MMRDA to terminate the agreement without providing specific reasons. The Court has upheld this provision but emphasized the need for procedural compliance, which MMRDA is fully prepared to follow.

  2. SYSTRA’s Representation: Contrary to claims circulating in the media, SYSTRA India’s signed representation, dated January 3, 2025, raised concerns related to payment delays, approval delays, and a notice of suspension of payments/descoping. The company did not raise allegations of corruption or graft in this formal communication, which directly refutes some of the more sensational claims that have been widely reported in the media.

  3. Project Delays and Risks: MMRDA previously issued show-cause notices and suspension orders to SYSTRA in 2023 and 2024, following repeated deficiencies in the company’s tender preparation. Although some of these issues were resolved by June 2024, the ongoing discrepancies in cost estimates and further delays prompted MMRDA to take corrective action, including the termination of the contract. The decision was made in the best interests of the project, to mitigate financial and operational risks that could further hinder the timely completion of vital metro infrastructure projects.

  4. No Basis for Corruption Allegations: MMRDA categorically denies the allegations of corruption and undue favours which were mentioned in some media reports. These allegations were never part of SYSTRA’s official representation to the government and appear to have been introduced later, likely in an attempt to divert attention from the actual contractual breaches. MMRDA urges media outlets to be cautious about publishing unverified claims that could harm reputations without proper substantiation.

  5. Commitment to Transparency and Fairness: MMRDA reaffirms its commitment to transparency, fairness, and the timely completion of metro projects in the Mumbai Metropolitan Region. The authority maintains that all actions taken with respect to the contract termination were fully justified under the terms of the agreement and aimed at safeguarding public funds and preventing further delays.

The MMRDA has expressed its intention to fully comply with the Court's direction, which requires the issuance of a fresh speaking order following a hearing with SYSTRA. The Court has also reinforced MMRDA’s right to initiate new proceedings should the company’s performance continue to fall short of expectations.

As of now, MMRDA remains steadfast in its commitment to ensuring that crucial metro projects—such as those involving Metro Lines 5, 6, 7A, 9, and 12—move forward without further hindrance. The authority emphasizes that the long-term success of these projects depends on the efficient and timely execution of services, which must meet the highest standards of quality and accountability.

This latest legal and procedural development marks another chapter in the ongoing efforts to ensure the smooth delivery of Mumbai’s much-needed metro infrastructure, with all stakeholders holding a shared responsibility to meet the city’s rapidly growing transit needs.
